In January 2009 beauty industry veteran Jeffrey Dame, recognizing a clear need in the United States

marketplace, established the Hypoluxe, Inc. distribution company for the purposes of representingselective European luxury fragrance and skin care brands exclusively in the USA.

While there is some awareness of the fine quality Institute Karité products in the United States, the

brand at this time should be considered generally unknown to retail stores and consumers alike. From

the period July 2011 to December 2011 sales presentations will be made to USA retail stores with the

objective of obtaining launches in spring 2012.

DEAL OVERVIEW

•Exclusive Hypoluxe Institute Karité Distributor Territory: United States

•Hypoluxe is a stocking distributor.

•Hypoluxe to have an 18-month exclusive representation time period to show the brand from 7/1/2011-12/31/2012

•Hypoluxe to service existing retail accounts and expand distribution where possible in second half 2011.

•Presentation of Institute Karité products to retailers begins second half 2011.

•Objective to introduce Institute Karité products by first half 2012.

•Hypoluxe to provide reports summarizing the details of meetings with retailers and general market trends.

•If Hypoluxe succeeds in obtaining significant retailer distribution in the territory then a formal five-year exclusive

distribution contract with renewal options will be negotiated in good faith between Hypoluxe and Institute Karité.

•If Hypoluxe is unable to obtain significant retail store distribution by the end of 2012 Institute Karité is free to

select another distributor.

Jeffrey Dame has worked in the mainline perfume and cosmetics

business for 31 years, since 1980. He speaks passable French. Places

Jeffrey Dame has journeyed to in perfumery and beauty include France,

Saudi Arabia, the United Arab Emirates, Hong Kong, Japan, Mexico,

Puerto Rico and Canada. In the USA he's traveled in almost every stateand visited over 50 major cities for business and pleasure.

Jeffrey Dame is the owner and proprietor of Hypoluxe, Inc., Irma

Shorell, Inc. and the Perfume of Life community. He also provides

product development consulting for the beauty industry and recently

created in 2011 new fragrance brands for Judith Leiber and Ellen Tracy.
