2- our prices and price lists are subject to change without notice. our prices, in euros, are ex-works saint-flour (eXW saint-flour) excluding carriage costs. carriage collect : express in france and eu-rope. even if they are dispatched carriage paid, our goods are conveyed at the purchaser’s risk. in the event of missing or damaged goods, it is a matter for the purchaser to undertake any action against the carrier within the required time-scales.

3- unless there are agreements to the contrary which can be revoked at our request, our products are payable in advance to our headquarters. in the event of late payment, sArl mecA’sYstem may suspend execution of all orders in progress.Where, notwithstanding the provision above and in view of the guarantees offered, our products are payable on credit, the sole fact of non-payment on any of the due dates results as of right in the credit being forfeited, the whole of the amount outstanding becomes payable immediately and we reserve the right to suspend execution of our own obligations until payment of the arrears.if the purchaser should fail to respect its commitment to payment on the due date, we reserve the right to cancel the sale at any time after giving simple notice and to reclaim full possession of the documents and products until receipt of transfers relating to the value of our invoices.mecA’sYstem shall remain owner of goods sold until full receipt of the amounts invoiced. our re-servation of title covers the goods and their price if they have already been on-sold (french law n° 80.335 dated 12 may 1980).

6- All our products are for use in competition only. All sArl mecA’sYstem products are one exclu-sively reserved use off the public highway: exhibitions, competitions, shows and customizing shows.

7- All mecA’sYstem products are guaranteed against manufacturing defects. sArl mecA’sYstem declinesallresponsibilityrelatingtotheuseandfittingofourproducts.Westronglyadviseuserstoentrustfittingtoanexperiencedprofessional.defectiveproductsmay,atourchoice,bereplaced,repaired or give rise to a credit for their value, but excluding any contribution to any damages suf-fered.

8- the re-export of our products outside the country for which they were ordered is prohibited un-less this provision is contrary to a provision which has legal validity. in the event non-observance of this prohibition is observed, we reserve the right to stop any delivery.

9- in the event of a difference in interpretation, the text in french takes precedence.

10- sales subject to these conditions are governed by the law of the country of the company issuing this invoice. All disputes will be judged by the Aurillac courts.

3- a moins de conventions contraires révocables à notre gré, nos produits sont payables d’avance à notre siège social. en cas de retard de paiement, la sarl meca’sYstem pourra suspendre l’exé-cution de toutes le commandes en cours. lorsque par dérogation à la clause ci-dessus, et au vu des garanties offertes, nos produits sont payables à terme ; le seul fait du non-paiement à l’une des échéances prévues entraine de plein droit la déchéance du terme, l’intégralité de la créance devenant immédiatement exigible, et nous nous réservons le droit de suspendre l’exécution de nos propres obligations jusqu’au versement de l’arriéré.faute pour l’acheteur de respecter son engagement de paiement à bonne date, nous nous réser-vons le droit de résilier la vente à tout moment, après simple mise en demeure et de reprendre la disposition entière des documents et des produits, ceci jusqu’à réception des transferts correspon-dant à la valeur de nos factures.meca’sYstem restera le propriétaire des marchandises vendues jusqu’à l’encaissement complet des montants facturés. notre réserve de propriété porte sur les marchandises et sur leur prix si elles ont déjà été revendues. 5- les retours ne sont acceptés qu’après accord de notre part. en cas de non-conformité des pro-duits livrés et après accord de la sarl meca’sYstem, l’acheteur pourra obtenir le remboursement ou le remplacement des produits meca’sYstem, à l’exclusion de toute indemnité ou dommages intérêts.a titre exceptionnel, les reprises pour d’autres motifs pourraient être acceptées après notre accord préalable écrit, pour des marchandises à l’état neuf et dans l’emballage d’origine, livrées depuis moins de quinze jours, retournées franco de port et d’emballage. les reprises seront créditées après déduction forfaitaire de 20% du montant ht facturé.les produits ayant fait l’objet de fabrication spéciale ne pourront être ni repris ni échangés.

6- tous nos produits sont uniquement réservés à la compétition. l’ensemble des produits de la sarl meca’sYstem est exclusivement réservé à une utilisation en dehors de la voie publique : exhibition, compétition, show et salon du tunning.

7- tous les produits de meca’sYstem sont garantis contre tous vices de fabrication. la sarl me-ca’sYstem décline toute responsabilité concernant l’utilisation et le montage de ses produits, et conseillevivementauxutilisateursd’enconfierlemontageàunprofessionnelaverti.les produits défectueux peuvent à notre choix être remplacés, réparés ou donner lieu au crédit de leur valeur à l’exclusion de tout participation aux dommages éventuellement subis.

8- Il est interdit de réexporter nos produits en dehors du pays pour lequel ils ont été commandés, à moins que cette clause soit contraire à une disposition ayant force de loi. en cas de non-respect constaté de cette interdiction, nous nous réservons le droit d’arrêter toute livraison.

9- en cas de différence d’interprétation, c’est le texte français qui prévaudra.
