In accordance with the provisions of Section 4 of the Federal Reserve A ct and m y circular dated Sep­tember 17. in regard to the election of a C'lass A director and a C'lass B director of this bank to succeed those whose terms expire on December 31 of this year, and the election of a C la ss B director to serve for the unex­pired portion of the term ending on December 31. 1955, there are shown on the following pages the names of the candidates nominated for such directors, indicating by whom nominated.

There is sent herewith to each bank in C'.roup 1 a preferential ballot for use in voting on the candidate for C la ss B director to take office January 1. 1955 for a full term. T o each bank in G roup 2 there are sent preferential ballots for use in voting on the candidate for C la ss A director to take office on January 1, 1955 for a full term, and the candidate for C'lass B director to take office im m ediately upon election and serve for the unexpired portion of the term ending December 31, 1955.

T he ballot and certificate on the envelope must be executed by an officer who has been authorized to cast the vote. A list of the banks in G roups 1 and 2 and the officers authorized to cast the vote, as certified to the Chairm an of the Board of this bank, are shown on pages 7 to 11. inclusive, of this circular. In order that the ballot m ay be secret, the name of the bank and of the voting officer should not be written on the ballot, but only on the certificate envelope, and the following procedure should be observed:

(1 After the preferential ballot has been marked,(2) It should be placed in the envelope marked “ Ba llo t” and the envelope sealed.(3) After the certificate on the certificate envelope has been executed,(4 The ballot envelope should be placed within the certificate envelo|>e and the latter sealed.(5) Then this certificate envelope contain ing the sealed ballot envelope should be returned to me

in the self-addressed envelope.

Under the law, the ballot must be returned so as to reach me w ith in fifteen days after its receipt. The polls will open on Novem ber 1 anil close at 2 p.m. on Novem ber 16, 1954. A t that time the ballot box will be opened in the Board Room of this bank, the sealed envelopes contain ing the ballots will be opened, the votes

counted and the results announced. The candidates are invited to be present or represented on that occasion.

W hile the banks in G rou p 3 will not vote in this election, the circular is sent to them without forms for their information.
